The Management Board of Proguns Group S.A., with its registered office in Warsaw (the “Issuer”), announces that on July 7, 2026, the Issuer entered into a commercial agency agreement (the “Agreement”) with Dillon Aero Incorporated, with its registered office in Arizona, U.S.A. (“Dillon Aero”).
Under the Agreement, the Issuer will act as Dillon Aero’s representative in Poland with respect to activities related to the offering and sales support of weapons systems manufactured by Dillon Aero, as well as components, ammunition systems, mounts, accessories, training, and logistical support related to those systems.
The agreement was entered into for a term of 2 years and sets forth the detailed terms of cooperation between the parties, including the scope of the Issuer’s representative activities, the rules for communicating with potential institutional investors, obligations regarding regulatory compliance, and the rules for compensating the Issuer on a commission basis. The specific financial terms of the agreement have not been disclosed to the public due to their commercial nature.
Dillon Aero is an American manufacturer of advanced Gatling-type weapon systems designed for integration with air, land, and sea platforms. Key products include, in particular, the 7.62×51 mm NATO-caliber M134D system (Minigun), used primarily as a close-in weapon system for helicopters, special operations vehicles, armored personnel carriers, and naval vessels, as well as the heavier 503D system in 12.7×99 mm (.50 BMG) caliber. Dillon Aero’s products are primarily targeted at institutional customers, including the military, police, and other uniformed services.
The Issuer notes that the conclusion of the Agreement is part of the implementation of the Issuer’s strategy to build capabilities in the area of distribution and sales representation for armaments and related products, as described in the strategy published on March 12, 2026, in ESPI Current Report No. 13/2026.
In the Issuer’s opinion, the conclusion of the Agreement may be of significant importance for the further development of the Issuer’s operations in the defense products segment; however, the Agreement’s impact on the Issuer’s future financial results will depend on the effectiveness of securing orders and executing the transactions covered by the cooperation.
