The Management Board of Proguns Group S.A., with its registered office in Warsaw (the “Issuer”), hereby announces that on September 9, 2026, the Issuer entered into a distribution agreement (the “Agreement”) with Faxtech Pty Ltd, with its registered office in Melbourne, Australia (“Faxtech”), pursuant to which the Issuer was designated as the exclusive distributor of Faxtech products in Poland.
The subject matter of this Agreement is the distribution of products in the Faxtech portfolio, including, in particular, specialized equipment designed for the defense sector and uniformed services, such as optoelectronic equipment, including “Night Eyes” night-vision monoculars and related accessories.
The Agreement does not specify a minimum value or minimum volume for orders that the Issuer is required to fulfill during its term. Individual orders will be placed and fulfilled in accordance with the terms set forth in the Agreement.
The agreement was entered into for a term of 24 months, with the option to extend it by mutual written agreement of the parties. The agreement sets forth detailed terms of cooperation between the parties, including the scope of the Issuer’s distribution activities, communication guidelines, regulatory compliance obligations, and the Issuer’s compensation terms. Product prices will be determined in accordance with Faxtech’s offers or specifications, and the settlement currency will be the euro.
The Agreement does not specify a minimum purchase amount or a guaranteed order volume. Either party may terminate the Agreement by providing 3 months’ notice, or with immediate effect in the event of a breach. Faxtech may also terminate the Agreement with one month’s notice if the products are discontinued.
Faxtech is an Australian supplier of specialized equipment, providing a wide range of mission-critical solutions to the Australian and New Zealand armed forces, national security agencies, state and federal law enforcement agencies, emergency response services, and the industrial sector. Faxtech specializes in the design, development, customization, and delivery of advanced systems and products, and provides comprehensive services including quality control testing and calibration, routine maintenance, technical support, and training.
Faxtech is a member of the Australian Industry Defence Network (AIDN) and the Australian Industry Group (AiG), as well as an accredited supplier to all state and federal agencies responsible for homeland security.
The conclusion of the Agreement is part of the Issuer’s strategy to expand its distribution operations and build expertise in the sale of specialized products intended for the professional and institutional markets, as outlined in the strategy published on March 12, 2026, in ESPI Current Report No. 13/2026.
In the Issuer’s view, the conclusion of the Agreement represents a significant step in the development of the Issuer’s operations in the defense products segment and creates an opportunity to further expand the Issuer’s product offering with specialized night-vision equipment solutions. At the same time, the extent to which this collaboration will impact the Issuer’s future financial results will depend, in particular, on the acquisition and fulfillment of orders under the Agreement.
